Pre-order Terms & Conditions

1. Parties and Scope

These Pre-order Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Purchaser" or "User") and Yurii Holub, acting strictly in his individual capacity as the inventor, architect, and patent applicant ("Seller").

Important Notice Regarding Corporate Entities and Continuity of License Obligations:

The License is issued by Yurii Holub in his individual capacity. The formation, affiliation, or involvement of any development group, foundation, software development entity, or other present or future entity associated with Reeblink shall not, by itself, affect, impair, subordinate, or extinguish any rights or benefits granted to the License Holder under these Terms.

If Yurii Holub subsequently transfers, assigns, contributes, or otherwise conveys to any affiliated, successor, or Reeblink-related entity any rights, assets, intellectual property, contractual rights, or functions relating to the Reeblink standard or the License, he shall ensure, as a condition of such transfer to the extent legally permissible, that the transferee or successor assumes and continues the corresponding obligations owed to License Holders under these Terms.

No such transfer shall be construed to release, reduce, subordinate, or otherwise adversely affect the rights of a License Holder under these Terms. The obligations applicable to a License Holder's License shall continue notwithstanding any such transfer, restructuring, or succession.

2. Subject of Sale (Network License)

The sole subject of this pre-sale is the Reeblink Network License ("License").

• Nature of License: The Pioneer License is an individual, personal software utility license granting the Purchaser right of access to participate in protocol validation metrics upon launch. The Developer does not operate, guarantee, or maintain any secondary market, exchange, or liquidity facility for the License.
• Pioneer Privileges: The first 1,000 Licenses issued at the fixed pre-sale price of $50 USD carry three permanent personal privileges:
  • Validation Access When the Network Deploys: Pioneer License holders receive early, prioritized access to operate network validation nodes, process protocol transactions, and validate the algorithmic accuracy of transaction fee routing upon launch. For the purpose of these Terms, "mining" refers strictly to the technical execution of consensus validation tasks and the verification of protocol fee allocations. It does not constitute profit-sharing, token inflation, guaranteed yields, or passive investment returns.
  • Pioneer ID: queue priority for network rental bookings.
  • Priority Listing Applications: priority evaluation of property inclusion applications submitted by Pioneer ID holders.
• Explicit exclusion of Network m²: Network m² (Meters) are NOT being sold, reserved, optioned, or promised under this pre-sale. Meters are internal units measuring network activity that arise solely upon active property operations.
• Non-security representation: The License is NOT an investment, security, financial instrument, share, stock, bond, partnership interest, or debt obligation. It conveys zero equity, voting rights, profit-sharing rights, or legal/beneficial ownership in any real estate property or legal entity.

3. Payment via Cryptographic Assets (USDC Notice)

The License price is fixed at $50.00 USD, payable in USD Coin (USDC, Polygon network) via an integrated crypto payment processor. Acceptance of payment in USDC represents strictly a payment settlement mechanism for the Reeblink Network License and does not constitute an Initial Coin Offering (ICO), Token Generation Event (TGE), crowdfunding, or sale of cryptographic tokens or financial instruments.

Upon blockchain network confirmation, USDC payments become the absolute, unencumbered property of the Developer (Yurii Holub) without third-party custody, escrow, or reserve requirements. Received funds shall be utilized at the Developer's sole discretion for protocol research, legal architecture, software deployment, and R&D activities. Purchaser is solely responsible for paying all applicable blockchain transaction fees ("gas fees") required to complete the transfer.

4. Delivery, Estimated Launch Timeline, and Absence of Fixed Delivery Date

The initial operational launch of the Reeblink network and deployment of Pioneer access privileges are currently targeted for Q1 2027. Delivery of the License occurs upon the official technical deployment and activation of the first real-world property under the Reeblink standard. Purchaser expressly acknowledges and agrees that:

• Forward-Looking Target Only: The Q1 2027 launch timeframe is an internal development target and estimation only, not a fixed, guaranteed, or binding delivery date. Time is strictly not of the essence regarding performance under these Terms.
• Development Contingencies: Protocol deployment schedules depend on complex software development, smart contract auditing, legal compliance, and real-world asset onboarding processes. The Developer reserves the unencumbered right to extend or adjust the roadmap as required for network security and regulatory compliance.
• No Delay Claims: Any deviation from or extension beyond the estimated Q1 2027 target shall not constitute a default, breach of contract, or misrepresentation by the Developer, nor shall it create grounds for monetary damages, interest, or delay claims. Purchaser's sole remedy prior to initial network launch remains limited to the cancellation and refund mechanisms set forth in Section B herein.

5. Early-Stage Acknowledgment and Risk Disclosures

Purchaser acknowledges and expressly assumes the extreme risks inherent in early-stage decentralized protocols and technology development, including:

• The risk that the network may be launched late, launched with modified specifications, or fail to launch entirely due to technical, regulatory, or market impediments.
• Regulatory enforcement actions, legal uncertainty regarding blockchain architecture, and jurisdictional restrictions.

DO NOT PURCHASE THE LICENSE IF YOU CANNOT AFFORD THE COMPLETE LOSS OF THE PURCHASE PRICE ($50 USD).

6. Provisions Applicable to United States Purchasers

For Purchasers residing in, located in, or subject to the laws of the United States of America:

• Utility Characterization: The License is offered strictly as an individual, personal consumer software access right and protocol permission. It has not been registered under the U.S. Securities Act of 1933, state blue-sky laws, or with the U.S. Securities and Exchange Commission (SEC).
• No Profit Expectation: You expressly represent and warrant that your purchase is motivated solely by the intention to acquire personal access to the future Reeblink network and Pioneer privileges, and NOT by an expectation of economic gain, profit, speculation, capital appreciation, or financial return derived from the efforts of the Developer or third parties.
• No Secondary Market Maintenance: The Developer does not organize, operate, guarantee, maintain, or promote any secondary market, exchange, trading venue, or liquidity facility for the License, the pre-order status, or the Pioneer access ID. Any transfer of the License between users occurs outside the Developer's obligations and infrastructure.

Section B: Cancellation, Statutory Rights, and Refund Conditions

A section within the Pre-order Terms

1. Statutory 14-Day Right of Withdrawal (EU/UK Consumers)

Pursuant to EU Directive 2011/83/EU and UK Consumer Contracts Regulations, Purchasers acting as individual consumers residing in the European Union or United Kingdom retain a statutory right to withdraw from this pre-order agreement within fourteen (14) calendar days of transaction confirmation without stating a reason.

2. Cryptocurrency Refund Mechanics

For all authorized or statutory refunds of pre-orders settled in USDC:

• Fixed Nominal Refund Value: Refunds shall be calculated and issued strictly at the nominal value of $50.00 USD payable in USDC on the Polygon network based on the transaction value at the time of purchase, regardless of market volatility or exchange rate fluctuations of underlying fiat or crypto assets.
• Deduction of Network Fees: All refunds shall be processed net of actual Polygon network transaction fees ("gas fees") and third-party processing costs incurred to transmit the return transaction.
• Source Address Verification: To mitigate money laundering and fraud risks, refunds will be transmitted exclusively to the original sending wallet address from which the payment was received. Refunds to unverified third-party addresses are strictly prohibited.

3. Refund Request Procedure

To request a refund, submit an email from the exact address used during checkout to the designated legal notice contact: contact@reeblink.com. State your transaction hash (TXID), buyer name, and explicit intent to cancel the pre-order.

Privacy Notice

1. Data Controller

The Data Controller responsible for processing your personal data under this pre-sale is Yurii Holub. Contact for privacy queries: contact@reeblink.com.

2. Information Collected

We collect and process the minimum necessary personal data required to fulfill pre-orders:

• Contact data: email address provided during checkout or form submission.
• Payment transaction metadata: order timestamp, currency, transaction IDs, payment status, and IP address collected by payment infrastructure providers.
• Notice on payment credentials: USDC cryptocurrency payments are processed on-chain via NOWPayments; no card numbers, bank details, or private keys are stored, transmitted, or accessible on the Seller's servers.

3. Legal Basis and Purpose of Processing (GDPR)

• Contract performance (Art. 6(1)(b) GDPR): processing email and transaction metadata to register your License pre-order, deliver the License upon launch, and execute refunds.
• Legal obligation (Art. 6(1)(c) GDPR): retaining accounting and transaction records for statutory tax and financial reporting compliance.
• Legitimate interests (Art. 6(1)(f) GDPR): preventing fraud and securing the technical infrastructure.

4. Data Sub-Processors and International Transfers

Data is hosted and processed through trusted infrastructure providers:

• Hosting infrastructure: GitHub, Inc. (website hosting and content delivery via GitHub Pages).
• Form submission processors: Formspree, Inc.
• Web fonts: Google LLC (Google Fonts — serves fonts and may receive visitors' IP addresses).
• Payment infrastructure: NOWPayments (NOWPayments Ltd) — cryptocurrency (USDC, Polygon) processing.

Cryptocurrency payments are processed through NOWPayments (NOWPayments Ltd). Transaction data and blockchain sending addresses are subject to automated Anti-Money Laundering (AML) and sanctions screening in accordance with the NOWPayments AML/KYC Policy.

Where personal data is transferred outside the European Economic Area (EEA), such transfers are safeguarded under standard contractual clauses (SCCs) approved by the European Commission or applicable adequacy decisions.

5. Data Retention and Data Subject Rights

Personal data is retained only for as long as necessary to fulfill the pre-order delivery or statutory recordkeeping mandates. Under applicable data protection laws (including GDPR), you have the right to:

• Access, rectify, or request deletion of your personal data.
• Restrict or object to processing, and request data portability.
• Unsubscribe from transactional/update announcements at any time.
• File a complaint with your local Data Protection Authority.
